Welcome to I.O Ghana! These Terms of Service (“Terms”) govern your access to and use of the website www.ioghana.com (“Website”) and the services provided by I.O Ghana (“we,” “our,” or “I.O Ghana”). By accessing or using the Website, you agree to comply with and be bound by these Terms. If you do not agree to these Terms, you may not use the Website or services.
1. Introduction
I.O Ghana is a capital-raising platform designed to facilitate donations for business ideas posted by Business Owners. Donors contribute funds to support the growth of businesses but do not receive financial returns, equity, or profit shares. Business Owners must repay the raised funds (at least 100%) to qualify for further capital raises.
2. Definitions
- Platform: The I.O Ghana website and its services, available at ioghana.com.
- Business Owner: An individual or business seeking to raise capital by submitting business ideas to be funded through donations on the Platform.
- Donor: An individual or entity that contributes money to support a Business Owner’s project, with the understanding that it is a donation and not an investment.
- Capital Raise: The process by which Business Owners raise donations for their business idea or project.
- Repayment Requirement: A condition that Business Owners must meet by paying back at least 100% of the funds raised through donations before being eligible to raise larger amounts.
3. Platform Overview
I.O Ghana serves as a donation-based crowdfunding platform where Business Owners can post their business ideas, request donations from Donors, and raise capital to start or grow their businesses. All contributions are donations, and Donors do not expect any financial returns (e.g., equity or profit-sharing).
Business Owners who successfully raise capital are required to repay at least 100% of the donated funds to qualify for higher levels of funding. Failure to repay will result in the Business Owner being unable to raise additional capital.
4. Business Owners’ Responsibilities
- Eligibility:
Business Owners must meet the following criteria to post their business ideas:- Be at least 18 years of age.
- Provide accurate business information, including a detailed description of the business and funding goals.
- Submit a video presentation introducing themselves and explaining their business idea to potential Donors.
- Fundraising and Repayment:
- Business Owners can raise donations by posting a campaign on the Platform. Once the donations are raised, Business Owners must repay at least 100% of the funds to the Donors to be eligible for further capital raises.
- Failure to repay the donations will prevent Business Owners from accessing further funds and may lead to penalties or termination of their account.
- Repayment terms will be agreed upon during the campaign creation process.
- Use of Funds:
Funds raised must be used for business purposes as described in the campaign. Business Owners agree not to use the funds for personal expenses. - Accuracy of Information:
Business Owners must ensure that all information provided, including business plans, financial forecasts, and repayment schedules, is accurate. Misleading or false information may result in account suspension or termination.
5. Donors’ Responsibilities
- Donations:
Donors contribute to campaigns as donations and not as investments. By donating, Donors agree:- Donations are non-refundable once made, except in cases where the Business Owner fails to meet the fundraising target within the specified time frame.
- Donors will not receive any financial returns or equity in the business.
- Donation Process:
When making a donation, Donors agree to:- Provide accurate payment information.
- Acknowledge that I.O Ghana is not responsible for any loss of funds due to a Business Owner’s failure to meet their repayment obligations or project failure.
- No Financial Return:
Donors understand that their donation is intended to support a Business Owner’s business and does not entitle them to any ownership, equity, profit share, or financial return.
6. Capital Raising Process
- Business Owner Fundraising:
Business Owners can post their business idea on I.O Ghana to raise funds. Once a target amount is reached, the funds will be disbursed to the Business Owner.
If the target goal is not met, the campaign will be considered unsuccessful, and no funds will be transferred to the Business Owner. - Repayment and Qualification for Higher Capital:
- Business Owners must repay at least 100% of the funds raised in their initial campaign before they are allowed to access higher levels of funding.
- The Platform will track repayment progress and inform Business Owners and Donors accordingly.
7. Refund Policy
- Non-Refundable Donations:
All donations are final and non-refundable. Once a Donor contributes funds, the contribution cannot be refunded for any reason.
Donations are made with the understanding that they are supporting a Business Owner’s project and are not investments. - Refunds Only for Unsuccessful Fundraising:
Refunds will only be provided if a Business Owner fails to meet their fundraising goal within the specified time frame. In such cases, the Platform will facilitate refunds to Donors.- If the Business Owner does not raise the capital within the set period, donations will be returned to the Donors.
- Platform Not Responsible for Refunds:
I.O Ghana will not be held responsible for refunding any donations outside of the circumstances outlined above.
8. Fees
I.O Ghana may charge transaction fees for processing donations and disbursing funds. These fees will be disclosed to users at the time of donation. The Platform reserves the right to change its fee structure, and any changes will be communicated to registered users.
9. Platform Limitations and Liability
- No Liability for Campaign Failures:
I.O Ghana is not responsible for the success or failure of any business campaign or for any financial losses incurred by Donors due to Business Owners’ failure to repay the raised funds. - No Warranty:
I.O Ghana does not guarantee that any campaign will reach its fundraising goal or that a Business Owner will meet their repayment obligations. - Limitation of Liability:
The liability of I.O Ghana is limited to the maximum extent permitted by law. I.O Ghana is not responsible for indirect, incidental, or consequential damages arising from the use of the Platform.
10. User Conduct and Prohibited Activities
- Prohibited Content:
Users (both Business Owners and Donors) agree not to upload, post, or share content that is:- Illegal, defamatory, or offensive.
- Misleading, fraudulent, or harmful.
- In violation of any intellectual property rights.
- Platform Misuse:
Users must not exploit the Platform for fraudulent activities, such as fake campaigns or misuse of funds.
11. Dispute Resolution
Any disputes between users or between users and I.O Ghana shall be governed by the laws of Ghana. Disputes may be resolved through mediation or through the courts of Ghana if necessary.
12. Changes to These Terms
I.O Ghana reserves the right to update or modify these Terms at any time. Any changes will be communicated via email or notice on the Website. By continuing to use the Platform, users agree to abide by the updated Terms.
